The Roots Rewards program if offered exclusively from Genealogy Today LLC ("GenToday", "we" or "us"), a New Jersey limited liability corporation.

IMPORTANT NOTICE
We reserve the right to add to and/or change the Roots Rewards program ("Program") Terms & Conditions at any time. This means, for example, that we may change the number of points earned for spending, or the number of points required to redeem rewards, impose limits on earning and/or redeeming points, and/or cancel rewards. In addition, we reserve the right to terminate the program with three months' prior notice.

This Agreement explains the terms and conditions governing membership in the Program, and it is your responsibility to read and understand them. By enrolling as a member in the Program (a "Member") you agree to be bound by these Terms and Conditions.

In case of fraud, misrepresentation, abuse, or violation of applicable rules involving earning or redeeming Points, Genealogy Today has the right to take appropriate administrative and/or legal action, including the forfeiture of accumulated Points, and termination of Program participation.

The awarding of Roots Rewards points and the redemption of Roots Rewards points are void where prohibited by law.

Genealogy Today has the sole discretion to interpret and apply the Program rules.

1. Eligibility

1.1. You must be an individual, 18 years of age or older.

1.2. Members must be human: no machines, scripts, or automated services may be used to accumulate any financial benefits derived from the use of Roots Rewards. You may maintain only one account. Any duplicate accounts will be subject to cancellation. You also agree not to impersonate any person.

1.3. The Program is only available via access to the Genealogy Today Web site (http://www.genealogytoday.com). You must have Internet access and an email address to be eligible to receive the privileges and benefits of membership. Genealogy Today is not responsible for your inability to connect to the Internet, log into the web site, or access your Roots Rewards account.

1.4. By agreeing to these terms, you also agree not to 'spam' unknown individuals by sending them unwanted emails to solicit their membership in the Program. Refusal to abide by this or any other rules may result in Genealogy Today stripping you of referrals and/or canceling your membership.

1.5. In order to participate in the Program you must register or be registered for a free membership ("Team Roots") at the Genealogy Today Web site. As part of the registration process, you must provide certain personal information to GenToday, including without limitation your name, billing address, phone number and e-mail address. The Genealogy Today Privacy Policy governs submissions of such information.

2. Earning Points

2.1. Members will be credited points based on the specifications of each offer in the Program. Some offers give a fixed number of points, others a percentage of the net purchases made by you either on the Genealogy Today web site, or at one of the online merchants affiliated with Genealogy Today (an "Affiliated Merchant"). The net purchase is defined as the total amount paid to the merchant minus tax, gift wrapping, shipping, promotional credits, returns, cancellations, and transaction fees or as the Affiliated Merchant offer is defined.

2.2. As a Member, purchases made through Roots Rewards Affiliated Merchants will be deemed a "Qualified Purchase" and will be subject to earn a points reward if and only if all of the following criteria are satisfied: 1) "Cookies", both first and third party (if applicable), must be enabled on your Web browser. 2) All potential Qualified Purchases must begin by clicking on the Affiliated Merchant's link that appears in the Roots Rewards area and being successfully connected to the Affiliated Merchant's Web site based upon that click. 3) Genealogy Today may, at all times, route your request for a merchant site through specific links, in order to assure that the sale can be tracked correctly. Any alteration of these links will invalidate your sale, which will not be deemed a Qualified Purchase. 4) All purchases must be started and completed in one shopping session after leaving the Roots Rewards area. If you start a purchase, then complete it in a different session, you may be ineligible for a points reward. 5) Items must not be returned. If they are, the initial purchase will be invalidated and not be deemed a Qualified Purchase.

2.3. The determination of whether or not a purchase made through a Roots Rewards Affiliated Merchant is a "Qualified Purchase" is at the sole discretion of Genealogy Today.

2.4. Points awarded to Members are subject to adjustments for returns, cancellations, and other events. Such adjustments can be applied to Member accounts at any time by Genealogy Today at its sole discretion. Should you disagree with any adjustments made to your account, your sole remedy is to withdraw from the Program.

2.5. You will not be awarded points in your program account for any activities and/or purchased processed by us prior to the enrollment date, or activities and/or purchases made using links not included in the Roots Rewards area.

2.6. Points accrued in any program account do not constitute property of the Member and are not transferable by operation of law or otherwise to any person or entity and cannot be transferred to any other account.

2.7. You may be taxed on your accrual of points, depending on the amount of points you accrue and the tax laws of federal, state, and local jurisdictions. In all instances, you will be solely responsible for any and all tax liability arising out of your accrual or redemption of points.

2.8. It is your responsibility to check your account regularly to ensure that points have been properly credited and that your account balance is accurate. If you do not believe that a points reward has been correctly credited to your account you must contact the Genealogy Today support department. Furthermore, all points earned by Members are subject to review. Necessary adjustments may be applied to Member accounts at any time by Genealogy Today at its sole discretion. If you do not agree to adjustments made to your account, your only recourse will be to terminate your membership in the Program. Genealogy Today reserves the right to terminate any account for abusive or fraudulent activity, or if the Member is no longer reachable at the e-mail address provided.

2.9. Points are credited to the Member account as specified in each offer. Some offers are instant; others are delayed based on the tracking mechanisms of each Affiliated Merchant. Points awarded from some offers may also be assigned an expiration date. These offers will clearly show the period in which the points must be redeemed. Expired Points may not be redeemed.

3. Point Redemption

3.1. Points may be redeemed only by the Member to whom they are issued.

3.2. Members must have sufficient Points posted to their Roots Rewards accounts to redeem Points for the reward of their choice. Points cannot be combined with cash or with another Member's Points to obtain a reward. Genealogy Today reserves the right to limit the quantities of rewards redeemed by a single Member in a given time period.

3.3. Members may return defective or damaged rewards for exchange of the same item or one of equal value. In no case, however, will Points be re-credited to a Member's account after a reward has been shipped.

3.4. Points may only be redeemed by accessing the Roots Rewards area and selecting any of the eligible rewards. The redeemed Points will be deducted from the Member account when the reward is selected. If the reward is undeliverable, the Points will be re-credited to the Member account.

4. Point Forfeiture for Account Cancellation

4.1. If for any reason we cancel any Member Account (including because of your death), any points accrued in your Program account will be forfeited. If we reinstate the Member Account(s) within one year of cancellation, any points accrued in your program account may be redeemed for a reward, provided all other conditions set forth herein have been met.

4.2. If you voluntarily cancel enrollment in the program or cancel your Member Account enrolled in the program, you will have up to 30 days from date of cancellation to redeem the points accrued in the program account.

4.3. If any Member Account is not in good standing, your enrollment in the program may be canceled or the points accrued in the account forfeited. Likewise, Genealogy Today also reserves the right to close accounts that have been inactive for more than 12 months. Inactivity is defined as no tracked visits, either cookied or manually logged in. All points in the account will be forfeited at that time.

4.4. An account may be closed at Genealogy Today's discretion if no points are accrued during a 24-month period. All points in the account will be forfeited at that time.

5. Privacy and Confidentiality

You or GenToday may provide the other with information that is confidential and proprietary to that party or a third party, as is designated by the disclosing party ("Confidential Information"). The receiving party agrees to make commercially reasonable efforts, but in no case no less effort than it uses to protect its own Confidential Information, to maintain the confidentiality in order to protect any proprietary interests of the disclosing party. "Confidential Information" shall not include (even if designated by a party) information that is or becomes part of the public domain through no act or omission of the receiving party, or is lawfully received by the receiving party from a third party without restriction on use or disclosure and without breach of this Agreement or any other agreement without knowledge by the receiving party of any breach of fiduciary duty, or that the receiving party had in its possession prior to the date of this Agreement.

The information that you supply to establish and maintain Your Account shall be Your Confidential Information. You shall be responsible for all usage and activity on Your account and for loss, theft or unauthorized disclosure of Your password (other than through GenToday's grossly negligent or willful conduct or omission). You shall provide GenToday with prompt written notification to legal@genealogytoday.com of any known or suspected unauthorized use of Your Account or breach of the security of Your Account.

Genealogy Today's Privacy Policy that is accessible from the home page of www.genealogytoday.com and may be amended from time to time by way of republication is incorporated into this Agreement.

6. Term and Notices

The parties acknowledge and agree that submission of application and acceptance of that application will be completed either online or by electronic mail. Parties hereby waive their rights to a written and signed copy of this Agreement. This Agreement shall commence upon your indication that you have accepted this Agreement by 'clicking through' the acceptance button in the Roots Rewards area, and, subject to Section 1.0, shall be in effect through the initial Term and any renewal periods.

Unless otherwise stated or given an option, the initial Term is one year.

7. Web Site Operations

GenToday will make reasonable commercial efforts to keep its Web site operational during normal business hours. However, you agree it is normal to have a certain amount of system downtime and agree not to hold GenToday liable for any of the consequences of such interruptions.

8. Authority and Compliance with Laws

Each party represents and warrants to the other party as to itself that the person executing this Agreement is authorized to do so on such party's behalf. Each party is responsible for compliance with the applicable local laws in the jurisdiction from which it operates and represents and warrants such compliance.

If you are a consumer who does not reside in the United States, the laws of the country in which you reside, or the country in which you are located at the time you download the Product may govern this License. If you reside in Canada, you agree to the following: The parties to this License have expressly required that the License be drawn up in the English language/Les parties aux presentes ont expressement exige que la presente convention soient redigees en langue anglaise.

9. Limitation of Liabilities

IN NO EVENT WILL GenToday, ITS SUPPLIERS, OR OTHER THIRD PARTIES MENTIONED AT THE GENEALOGY TODAY WEB SITE ("THE SITE") BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE, INABILITY TO USE, OR THE RESULTS OF USE OF THE SITE, ANY WEB SITES LINKED TO THE SITE, OR THE MATERIALS OR INFORMATION CONTAINED AT ANY OR ALL SUCH SITES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOUR USE OF THE MATERIALS OR INFORMATION FROM THE SITE RESULTS IN THE NEED FOR SERVICING, REPAIR OR CORRECTION OF EQUIPMENT OR DATA, YOU ASSUME ALL COSTS THEREOF. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

10. Disclaimer of Warranties

THE SERVICES AND MATERIALS PROVIDED BY THE GENEALOGY TODAY SITE ("THE SITE") ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY. GenToday further does not warrant the accuracy and completeness of the materials at the site. GenToday may make changes to the materials at the site, or to the products and prices described in them, at any time without notice. The materials at the site may be out of date, and GenToday makes no commitment to update it. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

11. Indemnification

You agree to indemnify and hold GenToday and its suppliers harmless from and against any and all claims, suits, costs, damages and judgments (including but not limited to attorneys' fees) incurred, claimed or sustained by third parties, including but not limited to Subscribers, for your breach of this Agreement and for claims of product liability and/or malpractice or misfeasance in the performance of services ("Claims"), or any third-party's rights, (including, without limitation, infringement of any copyright, violation of any proprietary right and invasion of any privacy rights). These obligations will survive any termination of your relationship with GenToday.

12. Choice of Law/Attorneys Fees

This Agreement is governed by the laws of the State of New Jersey (USA), except for its conflict of law provisions. A party that primarily prevails in an action brought under this Agreement is entitled to recover from the other party its reasonable attorneys fees and costs. GenToday controls and operates its Web site from its offices in the U.S.A. and access or use where illegal is prohibited.

13. Force Majeure

Neither party shall be liable by reason of any failure or delay in the performance of its obligations hereunder for any cause beyond the reasonable control of such party, including but not limited to electrical outages, failure of Internet service providers, riots, insurrection, war (or similar), fires, flood, earthquakes, explosions, and other acts of God.

14. Severability/Waiver

If any court of competent jurisdiction to be illegal, null or void or against public policy holds any provision of this Agreement, the remaining provisions of this Agreement shall remain in full force and effect. The parties shall in good faith attempt to modify any invalidated provision to carry out the stated intentions in this Agreement. The waiver of any breach of any provision under this Agreement by any party shall not be deemed to be a waiver of any preceding or subsequent breach, nor shall any waiver constitute a continuing waiver.

15. Acknowledgement

Your use of the Roots Rewards Program is irrefutable acknowledgement by you that you have read, understood and agreed to each and every term and provision of this Agreement.
